The terms that govern your use of the Vergent HR website, digital products, and custom project services.

Acceptance of these terms

These Terms of Service (the "Terms") govern your access to and use of the Vergent HR website, digital products, and custom project services (together, the "Services"). The Services are provided by Vergent HR, LLC ("Vergent HR," "we," "us," or "our").

By browsing the site, purchasing a product, or commissioning a custom project, you agree to these Terms. If you are using the Services on behalf of a company, you confirm you have authority to bind that company, and "you" refers to that company. If you do not agree, please do not use the Services.

Who we are

Vergent HR builds ready-to-run HR digital assets, templates, trackers, decks, guides, and rollout materials, and provides custom HR project support for lean teams. We sell operational tools and finished deliverables. We are not a law firm and we do not provide legal services.

Definitions

  • Digital products are downloadable or hosted assets such as trackers, decks, guides, policies, checklists, and rollout materials offered for a one-time fee.
  • Custom projects are tailored builds scoped and delivered under a separate project agreement or statement of work.
  • Order means any purchase you complete through the Services.

Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Services. The Services are intended for business and professional use.

Purchases, pricing, and payment

Prices are listed in U.S. dollars unless stated otherwise and may change at any time. The price that applies to your Order is the price shown at checkout. Orders are sold and processed through Lemon Squeezy, which acts as our merchant of record and authorized reseller. This means your purchase is completed with Lemon Squeezy as the seller of record, and Lemon Squeezy handles payment processing, billing support, and the calculation, collection, and remittance of applicable sales tax and VAT. By placing an Order, you authorize Lemon Squeezy to charge your selected payment method for the full amount, including any applicable taxes.

You are responsible for providing accurate billing information. We may refuse or cancel an Order if we suspect fraud, an unauthorized transaction, or a pricing error.

License to use digital products

When you purchase a digital product, we grant you a non-exclusive, non-transferable, perpetual license to use, edit, and adapt that product for your own internal business operations, including for the employees and contractors of your organization.

Unless we agree otherwise in writing, you may not:

  • Resell, sublicense, redistribute, or share the product or its source files as a standalone template, whether free or paid;
  • Repackage the product into a competing product, template library, or course;
  • Claim the underlying template, structure, or design as your own original work for redistribution.

The finished documents you create from a product for your own company are yours to use freely. The license covers the product itself, not the work product you build with it.

Custom HR project work

Custom projects are governed by a separate project agreement or statement of work that sets out scope, deliverables, fees, timeline, revisions, and ownership. Where a custom agreement conflicts with these Terms, the custom agreement controls for that project.

Unless the project agreement states otherwise, custom work typically follows a deposit and milestone structure, and ownership of final deliverables transfers to you on full payment. Background tools, methods, and reusable components that we developed independently remain ours.

Intellectual property

The Vergent HR name, logo, website, product designs, and the underlying templates and frameworks are owned by Vergent HR and protected by intellectual property laws. These Terms do not transfer any ownership of our intellectual property to you beyond the licenses described above.

Acceptable use

You agree not to misuse the Services. This includes not attempting to gain unauthorized access to our systems, not interfering with the site, not using the Services to violate any law, and not using our products in a way that infringes the rights of others.

No legal advice and no compliance guarantee

Important. Vergent HR provides operational documents and templates, not legal advice. This resource is designed as a practical HR operations tool and should be reviewed and adapted based on company policy, location, industry, and applicable law. Our products are not a substitute for legal counsel and we do not guarantee any specific legal, compliance, or regulatory outcome.

We do not provide legal review, compliance sign-offs, or multi-jurisdiction audits. Employment law varies by location, industry, and over time. Before you rely on any product or deliverable, you are responsible for reviewing and adapting it for your situation and, where appropriate, having it reviewed by qualified employment counsel.

Disclaimer of warranties

The Services and all products are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that any product will meet your specific requirements.

Limitation of liability

To the fullest extent permitted by law, Vergent HR and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services or any product. Our total liability for any claim relating to the Services or a product will not exceed the amount you paid to us for the product or service giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold Vergent HR harmless from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising from your use of the Services or products, your violation of these Terms, or your violation of any law or third-party right.

Third-party services and links

The Services rely on third parties such as payment, hosting, analytics, and email providers, and may link to third-party sites. We are not responsible for the content, policies, or practices of those third parties. Their terms and privacy policies govern your use of their services.

Confidentiality

For custom projects, we treat your non-public business information as confidential and use it only to deliver the work. Non-disclosure agreements are executed at custom project intake where requested.

Suspension and termination

We may suspend or end your access to the Services if you breach these Terms or use the Services in a way that creates risk or legal exposure for us or others. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, will continue to apply.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will take effect when posted, and your continued use of the Services after that date means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of Texas, United States, without regard to its conflict of laws rules. You agree that any dispute relating to these Terms or the Services will be resolved in the courts located in San Antonio, Texas, unless applicable law requires otherwise.
